  • When will my order ship?

    Orders placed with a standard shipping method will take 2-3 business day to process.

    If you selected an expedited shipping method, the processing time is 1-2 business days.

  • How can I track my order?

    You will receive a tracking number via email once your order ships from our warehouse. Below are some helpful tips when wanting to track your order:

  • Can I cancel an order?

    We are not able to modify or cancel an order once it has been placed. You are welcome to return items you no longer wish to keep once they have been received.

    Once you receive your order in the mail, you may simply return any unwanted items by clicking here to receive a return label.

  • Why was an item canceled from my order?

    Orders or items from an order may be cancelled by our system for various reasons.

    • - Unable to ship to the address provided.
    • - Inventory for the item has become unavailable at the time of packing.
    • - Errors in processing your payment information.

    If your order/ item(s) are cancelled, you will receive notice via email. Please keep in mind that you will not be billed for any cancelled items/order.

  • How do I return an item?

    Click here to select the item(s) to be returned and print your return label. If you placed your order through Instagram, please request a return by contacting our customer service team by clicking here.

    For all ROXY Girl Club members, return shipping labels are FREE.
    For all other guests, return shipping labels are $6.95. This amount will be deducted from your refund. You are welcome to sign up to become a ROXY Girl Club Member here.

    • - Merchandise must be returned within 30 days from the date of purchase.
    • - Once submitted, a return shipping label will be generated and emailed to you.
    • - Please print the shipping label.

  • Shipping Rates and Timelines

    US Shipping Only. We do not offer international shipping.

    Taxes/Duties: All orders shipped to Canada may be subject to import duties and taxes that are levied and collected during checkout. There will not be any additional costs billed upon delivery.

    US P.O. Box Shipping: PO boxes & APO/FPO addresses are limited to only Standard shipping method. UPS Ground or Expedited shipping methods are unavailable at this time. Our carriers are unable to deliver directly to P.O. Box addresses. Entering a P.O. Box may require the carrier to contact you at the telephone number provided to arrange pickup of your package from one of their local facilities. If you wish to guarantee a direct delivery of your package, please enter a non-P.O. Box shipping address.

    Standard/Ground Order Processing: Allow 2-3 business days (excluding weekends & all U.S. federal holidays) for processing before order ships from our warehouse.

    Second/Next Day Order Processing: Second/Next Day Order Processing: Allow 24 hours for processing before orders ships from our warehouse. (Excluding weekends & all U.S. federal holidays).

    Delivery Time: Time begins calculating once order has shipped from the warehouse. Please allow 24 hours for your tracking number to update from when the order has shipped.

  • Why am I missing an item from my order?

    If your order contains multiple items, they may be shipped separately. We ship from multiple locations to ensure you receive your items as fast as possible.

    If an item is missing from your order, it may be preparing to ship or already in route to deliver on a different day. Once all items have been shipped you will receive an email containing all tracking numbers associated to each item.

  • How do I get free shipping?

  • When will my order ship?

  • My tracking says delivered, but I don't have it?

    There can be multiple reasons why your tracking states delivered but you have not received your package. 

    • Carrier Hand Off: Some packages travel through multiple carriers.
      • Example: You may receive a UPS tracking number, but USPS may complete the final delivery.
    • In rare cases, packages may say delivered up to 48 hours before arrival depending on carrier.
    • Look for a notice of attempted delivery.
    • Look around the delivery location for your package. Some carriers may hide packages to avoid theft.

  • Can I change my shipping address?

    Once an order has been placed, we are unable to cancel or modify.

    US Returns Only.

    EXCHANGES

    If you'd like to make an exchange, please follow our return policy and place a new order for the product you desire. This will ensure the product is available and gets to you quicker.

    RETURN POLICY

    • Merchandise can only be returned if purchased online directly from www.roxy.com
    • Merchandise must be returned within 30 days from the date of purchase.
    • Merchandise must be in original condition.
    • Items listed as FINAL SALE cannot be returned for a refund.
    • Shipping charges incurred during checkout are not refundable. 
    • Packages that arrive COD may be denied, or the COD amount may be deducted from your return.

    Please Note: Transit time can take up to 10-14 business days before we receive your return. Once your return has been received, allow an additional 7-10 business days to process your refund back to the original form of payment.

  • How long can a return take to complete?

    Once a return has been sent back, please allow 10-14 business days for transit time. Once our facility has received the return, allow for an additional 7-10 business days for the refund to be completed back to your original form of payment.

  • What is your return address?

    Unfortunately, our returns address is not available. All returns must be processed through our returns page. Any unauthorized return labels will not be processed and sent back to sender.

    We only accept returns directly from online purchases at Roxy.com

    Apparel and Accessories Warranty Policy

    Policy covers specifically: Apparel & Accessories.

    Boardriders warrants all apparel to be free of defects in material or workmanship for a period of ninety (90) days from the original date of purchase, when purchased from an authorized dealer. The apparel warranty covers defect of workmanship and materials, but does not cover damage caused by accident, improper care, negligence, normal wear and tear, or the natural breakdown of colors and material through time, exposure or extensive use.  If a Boardriders product is found to be defective after inspection by a warranty technician, Boardriders will repair or replace the product with an existing comparable model at the technician’s discretion. Boardriders is not liable for any damages, losses and/or costs incurred resulting from the loss or usage of our products.

    Warranty policy is subject to the following limitations:

    • - All warranty claims must be accompanied by the original purchase receipt from an authorized dealer.
    • - All warranty claims returned must have prior return authorization.
    • - Repaired or replaced products are covered for the remainder of the original warranty.

    How to process a warranty claim:

    Boardriders warrants all Bags, Backpacks and Luggage to be free of defects in material or workmanship for a period of one (1) year from the original date of purchase, when purchased from an authorized dealer. The Bags, Backpacks and Luggage warranty covers defect of workmanship and materials, but does not cover damage caused by accident, improper care, negligence, normal wear and tear, or the natural breakdown of colors and material through time, exposure or extensive use.  If a Boardriders product is found to be defective after inspection by a warranty technician, Boardriders will repair or replace the product with an existing comparable model at the technician’s discretion. Boardriders is not liable for any damages, losses and/or costs incurred resulting from the loss or usage of our products.

The Eyewear warranty covers defect of workmanship and materials, but does not cover misuse of the product, lack of care, user caused scratches to the lenses, accidents, or loss of the product.  If a Boardriders product is found to be defective after inspection by a warranty technician, Boardriders will repair or replace the product with an existing comparable model at the technician’s discretion. Boardriders is not liable for any damages, losses and/or costs incurred resulting from the loss or usage of our products.

The footwear warranty covers defect of workmanship and materials, but does not cover damage caused by accident, improper care, negligence, normal wear and tear, or the natural breakdown of colors and material through time, exposure or extensive use.  If a ZQK product is found to be defective after inspection by a warranty technician, ZQK will repair or replace the product with an existing comparable model at the technician’s discretion. ZQK is not liable for any damages, losses and/or costs incurred resulting from the loss or usage of our products.

  • Retail Delivery Fee

    Due to selling taxable items delivered by motor vehicle in the following state(s) below, ROXY is required to collect and remit a new fee to the states Department of Revenue.

    The fee begins July 1, 2022. If your order has been placed on or after July 1 2022, the fee was already collected in your order total. This is a non-refundable service fee.

    Abiding States:

    Colorado: $0.27 per retail sale for delivery.

    We accept Apple Pay,  PayPal, Afterpay, Visa,  Mastercard, American Express and Discover. You may also use some prepaid gift cards as long as you have pre-registered them with your current address.

    Please Note:

    • You will not be charged for items purchased with a credit card until they are shipped. Items purchased on debit card may be billed immediately upon order confirmation.
    • For your security, your billing name and address must match that of the credit card used for payment. We reserve the right to cancel any order that does not match these criteria. 
  • When will I be charged for my order?

    Online purchases are not billed until they are confirmed as shipped. A temporary authorization hold is placed on the card at the time of check out then charged once your order has shipped.

  • Am I Charged Sales Tax?

    US Sales Tax

    State laws require that we charge applicable sales tax on orders shipped to the following states:

    Arizona, California, Colorado, Connecticut, Florida, Georgia, Hawaii, Illinois, Iowa, Kentucky, Maine, Maryland, Massachusetts, Michigan, Minnesota, Nebraska, Nevada, New Jersey, New York, North Carolina, North Dakota, Ohio, Oklahoma, Pennsylvania, Rhode Island, South Carolina, Texas, Utah, Virginia, Washington, West Virginia, Indiana, South Dakota Tennessee, Vermont, and Canada.

    We do not charge sales tax on the purchase of Gift Certificates. However, items purchased with Gift Certificates will be taxed if shipped to the states mentioned above.

    Afterpay is a service that allows us to offer our customers the ability to make purchases now and pay for them in four equal payments made every two weeks without any interest.

    Just shop ROXY.com and check out as usual. At checkout, choose Afterpay as your payment method. First-time customers will need to register with Afterpay and provide payment details. Returning customers simply log in to make their purchase. It’s that easy.     How do I join the Roxy Girl Club loyalty program?

    You can join the Roxy Girl Club loyalty program in-store or online at www.roxy.com.

    Is it free to join the Roxy Girl Club loyalty program?

    Yes! Joining the Roxy Girl Club is completely free and no purchase is required.

    How do I use a reward?

    ONLINE: Redeem and use your reward right at checkout. Not ready to shop? You can also go to your Rewards page in your account and redeem a reward for future use either online or in-store. Based on the total points you have in your account; we display the various types of offers and rewards you can use at checkout so that it’s easily accessible to you. Your discount will be reflected in the order total once you have applied it to your cart.

    IN-STORE: Before you begin your shopping experience, you have the option to log into your account online to view the different rewards that are available to you. You can either redeem that reward in advance and use it in-store, or you can ask our sales representative to check for any available offers/rewards under your account. If there is an offer/reward available, we will gladly redeem it and add it to your purchase.

    How do I earn offers and rewards?

    As soon as your loyalty account holds at least 200 points, a reward will be available for you to redeem. You will receive an email advising you that a reward is available in your account. Don’t have enough points? No worries. From time to time, we send out promotional offers such as welcome, birthday, anniversary, etc. and you don’t need to have points to redeem them!

    Can I use my reward on other Boardriders family brands?

    Yes. As long as you are a loyalty club member with our other family brands, your rewards should be available for you to use at any of the family brands

    If I make an in-store purchase and I am not a loyal member of that Boardriders family brand, can I still add that purchase to my loyalty account at the family brand I am loyal to and earn points?

    Yes. If you do not have a loyalty membership to the brand store where you just made an in-store purchase, but have a membership at another one of our family brands, you can ask our sales associate to add your purchase history to your loyalty account.

    Do my loyalty points have an expiration date?

    Yes. Just like your offers, your total loyalty points also have an expiration date which can be found in your account overview. Be sure to use all your points before it resets!

    What happens if I return an item?

    If you received points when you purchased the item, then those points will be removed from your account when the return is processed. If no points were earned on the purchase of the item, then no points will be removed. This point deduction activity will be visible on your Points History page under your account.

    How do I view my points?

    You can view your total points at any time by logging in to your account on our brand sites in which you are a loyal member. If you have opted to receive emails regarding your account, a quarterly statement will be emailed to you showing the total available points.

    Do all my purchases count towards points?

    Your purchases at any Roxy store and www.roxy.com will accumulate points including eligible third-party merchandise purchased through Roxy.

    My purchase is not appearing in my points balance. What should I do?

    Online: Points accumulated from your purchases will appear in your account once your order ships out, as long as you have signed into your loyalty account when making payment online. If you are still unable to see the points after 48 hours when your order is shipped, please contact us.

    In-Store: As long as you have provided our sales associate with your loyalty email information, the points accumulated from your purchases will appear in your account within 48 hours. If you are still unable to see the points after 48 hours, please contact us.

    How do I get free shipping?

    Just for being a loyal member, you will receive free standard shipping on all purchases made on the sites within Canada and all 50 U.S. states, and APO/FPO address.

    How do I get free returns?

    ONLINE: We offer free returns to our loyal members on all eligible purchases (excluding returns from Canada) made on the sites within all 50 U.S. states, and APO/FPO addresses.

    IN-STORE: Changed your mind about an item? You can visit one of our company owned retail locations and return the item as long as the item is eligible for returns based on our return policy.

    PLEASE READ THESE TERMS CAREFULLY. BY PARTICIPATING IN THE  ROXY GIRL CLUB LOYALTY PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO BE BOUND BY ALL TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU CANNOT PARTICIPATE IN  ROXY GIRL CLUB. 

    The Roxy Girl Club loyalty program (hereinafter “Roxy Girl Club”) is a customer loyalty program offered by Boardriders, Inc. (“Boardriders,” “Company,” “we” or “us”) to customers who meet the eligibility requirements described below.  Roxy Girl Club is valid online in the United States and Canada on the Roxy website (hereafter, the “Sites”), and at participating retail stores in the United States and Canada (hereafter, the “Stores”).  

    When you create a user account on the Roxy website, you will automatically be enrolled in Roxy Girl Club. By creating an account and/or enrolling in Roxy Girl Club, you agree (or, if you are under the age of majority, you have obtained your parent or legal guardian’s consent) to participate in Roxy Girl Club. By participating in Roxy Girl Club, you will be subscribed to receive communications from Roxy, some of which may be commercial in nature.

    Membership in Roxy Girl Club is available to any natural person who is a resident of the United State or Canada, and are at least 18 of age (or the age of majority in the place of residency) at the time of enrollment in the program.  By submitting an application for membership in Roxy Girl Club, you represent that you meet these eligibility requirements.  Employees, officers, directors, agents and representatives of Company are ineligible for membership in Roxy Girl Club.  You must read and agree to these terms and conditions of membership in Roxy Girl Club (“Terms and Conditions”), as set out below. 

    EXCEPT WHERE AND TO THE EXTENT PROHIBITED BY LAW, WHICH MAY INCLUDE THE PROVINCE OF QUEBEC, Company may at any time, in its sole discretion, alter, limit, or modify the Roxy Girl Club rules, regulations, Rewards (as defined in Section B below), eligibility for membership, or any other feature of Roxy Girl Club or may suspend or terminate Roxy Girl Club at any time in its sole discretion, without giving you prior notice. In such instance, your Points (as defined in Section B below) may terminate or expire. Moreover, Company reserves the right to terminate your account and/or your participation in Roxy Girl Club if Company determines in its sole discretion that you have violated these Terms and Conditions, you have more than one (1) Roxy Girl Club account, or that the use of your account or any content or materials owned by Company is disruptive, unauthorized, deceptive, fraudulent or otherwise unlawful. 

    B.  Principle of Roxy Girl Club 

    As a Roxy Girl Club member, you can earn Roxy Girl Club points (“Points”) by (i) purchasing Roxy brand merchandise and eligible third-party merchandise as determined by Boardriders in its sole discretion (excludes the purchase of e-gift cards, gift cards, shipping & handling charges, and sales taxes on purchases) on the Sites and at Stores (“Eligible Purchases”); and (ii) participating in Point-earning activities offered by Company from time to time (e.g., double Points Tuesdays, responding to a survey, etc.). Points earned in this way give you access to select rewards (“Rewards”) as determined by Company in its sole discretion. 

    C.  Membership in Roxy Girl Club 

    To join Roxy Girl Club, simply ask about it at one of our Stores or join online on the Sites. You must create an online user account in order to participate in Roxy Girl Club. Upon joining, you will receive a welcome email with a member number.  Individuals who have an existing user account with Boardriders and purchased Roxy merchandise within the past twelve (12) months or joined the Boardriders Club loyalty program through the Roxy Site before the launch of the Roxy Girl Club Program are automatically enrolled in Roxy Girl Club, and participation in the Roxy Girl Club Program will constitute agreement to these Terms and Conditions.  Any existing and valid Boardriders Club points earned prior to an individual being automatically enrolled in Roxy Girl Club will be converted into an equivalent number of Points.   

    In order to get the most complete experience out of your Roxy Girl Club membership, including receiving exclusive Roxy Girl Club offers, Company recommends that you subscribe to receive all Roxy Girl Club emails. You will periodically receive emails from us. Some of these will be marketing emails, if you have subscribed to receive such emails, while others will be transactional emails that relate to your membership in Roxy Girl Club. Examples of transactional emails include: the welcome email, account statement emails, earned Rewards emails or other communications that help us to maintain your user account. At any time, you may opt out of marketing emails, transactional emails, or both. If you opt out of marketing emails, you will not be notified of all Rewards opportunities that you would have otherwise been notified about had you agreed to receive marketing emails from us (e.g., birthday offer and special promotions). You may still access your loyalty membership status, earned Points and Rewards, by logging into your account. 

    You are responsible for the accuracy of the information you provide and shall be solely liable for any incorrect, incomplete or out-of-date information. Company reserves the right to request at any time any document to prove the identity of the person who has joined or wishes to join Roxy Girl Club, particularly in the case of two people with the same name. 

    Only one (1) membership in Roxy Girl Club is permitted per person and email address. In the event of a dispute over ownership of your user account, the registration will be declared to have been made by the authorized account holder of the email address submitted at the time of enrollment. For purposes of these Terms and Conditions, the “authorized account holder” is the natural person who is assigned to the submitted email address by an internet provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Membership in the Roxy Girl Club, Points and Rewards are non-transferable, personal and for individuals’ own private, non-professional use only. Membership, Points and Rewards cannot be assigned. 

    D.  Earning Membership Points 

    You will begin earning Points over a 12-month period from the date on which you join Roxy Girl Club, and will be awarded 100 Points upon enrollment in Roxy Girl Club.  You will also earn Points on all Eligible Purchases and participation in other special programs and promotional offers that may be announced by Roxy or its third-party partners from time to time.  Points will expire twelve (12) months after they are earned on a rolling basis.  

    Points have no cash, monetary or real-world value. Unless a special offer is applicable, you shall earn one (1) Point for every U.S. or Canadian dollar ($1.00) you spend (as applicable, based on country of purchase) on the Sites or in a Store.  Points may be earned in fractional amounts depending on the value of your purchase and will be rounded up to the next dollar. When making a purchase on the Sites, you must log-in to your user account in order to earn Points. When making a purchase at a Store, you must provide your email address of other membership information in order to earn Points on your in-store purchase.  From time to time, we, or others acting with our permission, may notify you of special promotional offers that offer you “Bonus Points.” Bonus Points will be awarded as described in the applicable promotional offer and will be subject to any additional terms set forth in the promotional offer. 

    Points will not be awarded on unauthorized or fraudulent purchases, nor will Points be awarded if, in Company’s reasonable opinion, the merchandise or services purchased will be used for resale or commercial use and any Points awarded on such purchases will be forfeited.  Points will not be earned on the following items:  purchase of e-gift cards or gift cards, shipping & handling charges, and sales taxes on purchases. 

    No Points will be earned for purchases made on the Sites using the guest checkout option. Any purchases you make prior to joining Roxy Girl Club will not be eligible for Points except for purchase that earned Boardriders Club points that were converted to Points as described in Section C. 

    Company reserves the right, in its sole discretion, to determine and establish the value of Points. In the event of a dispute regarding the number of Points earned by a member, Company shall have the sole discretion to determine the accurate number of Points earned by such member. All decisions by Company with respect to Points are final. 

    E.  Membership Rewards 

    Your membership Rewards include the following: 

    • Rewards: These are single-use coupons that can be used for discounts off purchases on the Sites or at Stores as described below.  The amount of your Reward will be determined by the total amount of Points you have accumulated.  Every 200 Points = $15 off eligible purchases. Rewards shall be awarded in $15 (U.S. or Canadian dollars, as applicable, based on country of purchase) increments as follows:   

    • If you accumulate 200 Points or more but less than 400 Points, you shall receive a Reward of $15 off your next purchase of $25 or more. 

    • If you accumulate 400 Points or more but less than 600 Points, you shall receive a Reward of $30 off your next purchase of $50 or more. 

    • If you accumulate 600 Points or more but less than 800 Points, you shall receive a Reward of $45 off your next purchase of $75 or more. 

    • If you accumulate 800 Points or more but less than 1,000 Points, you shall receive a Reward of $60 off your next purchase of $100 or more. 

    • If you accumulate 1,000 Points or more, you shall receive a Reward of $75 off your next purchase of $125 or more. 

    Each Reward shall be valid for sixty (60) days from date of issuance or such other time as set forth on the Reward. Rewards may only be used for the purchase, on the Sites or at Stores, of Roxy or other Boardriders brands (i.e., Quiksilver, DC Shoes, Billabong, ELEMENT, RVCA) in which you are also a loyalty program member.  Each Reward may only be used once. Limitations on the number of Rewards that can be used in a single transaction may apply. Rewards have no market or cash value and are non-transferable. 

    • First Loyal Purchase Offer: Following your enrollment in Roxy Girl Club, you will receive a one-time 20% off First Loyal Purchase Offer following your first purchase of Roxy merchandise on the Sites or at Stores. Each First Loyal Purchase Offer shall be valid for thirty (30) days from date of issuance or such other time as set forth on the First Loyal Purchase Offer. First Loyal Purchase Offers may only be used for the purchase of Roxy merchandise on the Sites or at Stores. Each First Loyal Purchase Offer may only be used once. Limitations on the number of First Loyal Purchase Offers that can be used in a single transaction may apply.  First Loyal Purchase Offers have no market or cash value and are non-transferable. 

    • Birthday Offer: Following your enrollment in Roxy Girl Club, you will receive a 25% off Birthday Offer once a year at the beginning of the month in which you celebrate your birthday. Each Birthday Offer shall be valid for thirty (30) days from date of issuance or such other time as set forth on the Birthday Offer. Birthday Offers may only be used for the purchase of Roxy merchandise on the Sites or at Stores. Each Birthday Offer may only be used once. Limitations on the number of Offers that can be used in a single transaction may apply. Offers have no market or cash value and are non-transferable. 

    • Anniversary Offer: Following your enrollment in Roxy Girl Club, you will receive a 25% off Anniversary Offer once a year on the 15th day of the month in which you enrolled in Roxy Girl Club. Each Anniversary Offer shall be valid for sixty (60) days from date of issuance or such other time as set forth on the Anniversary Offer.  Anniversary Offers may only be used for the purchase of Roxy merchandise on the Sites or at Stores. Each Anniversary Offer may only be used once. Limitations on the number of Anniversary Offers that can be used in a single transaction may apply.  Anniversary Offers have no market or cash value and are non-transferable. 

    • Free economy shipping: You shall receive free economy shipping on all purchases made on the Sites within Canada and all 50 U.S. states, APO/FPO addresses, and the following U.S. territories:  Guam, Puerto Rico, US Virgin Islands, and American Samoa only. 

    • Free returns: You shall receive free returns on all Eligible Purchases (excluding returns from Canada) made on the Sites within all 50 U.S. states, APO/FPO addresses, and the following U.S. territories:  Guam, Puerto Rico, US Virgin Islands, and American Samoa only. 

    Some Rewards or Offers may only be available to residents of a particular country (e.g., U.S. only or Canada only). Company reserves the right to substitute Rewards or Offers at its sole discretion. Unless otherwise noted by Company, Rewards and Offers cannot be combined with any other offers. You cannot use Rewards or Offers retroactively for prior purchases. Company is not responsible for lost or stolen Rewards or Offers. If you opt out of certain types of emails, e.g., Loyalty Program emails, you may not be able to receive Rewards or Offers by email, although you will be able to view your Rewards or Offer status by visiting a Store or logging in to your Roxy Girl Club account. 

    F.  Updating Your Account 

    Participation in Roxy Girl Club requires an email address and a valid password. You should consider your user password confidential information. Anyone with knowledge of both your email address and password can gain access to your account. You agree to immediately notify us if you become aware of any loss or theft of your password or any unauthorized use of your email and password. WE WILL NOT BE RESPONSIBLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR FAILURE TO COMPLY WITH THESE OBLIGATIONS. 

    It is your responsibility to keep your information up to date and to notify Company of any changes by editing your user account information. You shall be solely liable for any out-of-date, incomplete or inaccurate information. Under no circumstances may Company be held liable in the event that you do not receive Points or Rewards or Offers due to out-of-date, incomplete or inaccurate information.

    G.  Fraudulent Use of Roxy Girl Club 

    Any fraud, attempted fraud or theft on the Sites or at a Store, any wrongful or inappropriate use of Roxy Girl Club, any abnormally high number of transactions found to have been made over one or more days, any payment incident or more generally any violation by you of these Terms and Conditions shall lead to the automatic suspension or permanent deactivation of your membership in Roxy Girl Club. Company reserves the right to suspend or deactivate your account, Roxy Girl Club and/or cancel Rewards and you shall have no right to claim any compensation. In addition, any Points acquired in violation of these Terms and Conditions or through misuse or fraudulent use shall be cancelled without any form of compensation. 

    H.  Amendment, Failure or Interruption of Roxy Girl Club 

    EXCEPT WHERE AND TO THE EXTENT PROHIBITED BY LAW, WHICH MAY INCLUDE THE PROVINCE OF QUEBEC, Company reserves the right to amend these Terms and Conditions at any time, without providing you notice. Company also reserves the right to change Rewards offered, as well as to amend or suspend Roxy Girl Club. 

    Company shall be exempt from any liability for all consequences, direct or indirect, of any failures of Roxy Girl Club. No amendment, withdrawal or failure of Roxy Girl Club shall give you an entitlement to compensation. If Roxy Girl Club is suspended, any Points earned may no longer be valid or honored by Company, at Company’s sole discretion. 

    I.  For California Residents - Notice of Financial Incentive 

     We have structured and administer the Roxy Girl Club program in accordance with the California Consumer Privacy Act (CCPA).  In addition to the other information described in these Terms and Conditions regarding the material terms of the Roxy Girl Club program, we provide the following additional information applicable to California residents.  The categories of personal information we collect as part of your participation in Roxy Girl Club are:  first name, last name, email address, shipping address, date of birth, phone number, and purchase history.   

    The Points, Rewards, and Offers for Roxy Girl Club program members are based on our good-faith estimate of the value of the personal information provided to us in connection with the program.  We estimate that the value to Boardriders of the personal information you provided to facilitate participation in the program is $0.66.  We have calculated this value based on estimated incremental average order value per loyalty order compared to a non-loyalty order, accounting for promotional discounts and costs associated with loyalty orders.

    BY PARTICIPATING IN  ROXY GIRL CLUB, YOU ACKNOWLEDGE THAT  ROXY GIRL CLUB, THE REWARDS, OFFERS, AND THE SITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  WITHOUT LIMITING THE FOREGOING, COMPANY MAKES NO WARRANTY THAT: (A) THE SITES,  ROXY GIRL CLUB, THE REWARDS OR OFFERS WILL MEET YOUR REQUIREMENTS; (B) ACCESS TO THE SITES OR  ROXY GIRL CLUB WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE QUALITY OF THE SITES,  ROXY GIRL CLUB, THE REWARDS OR OFFERS WILL MEET YOUR EXPECTATIONS; AND/OR (D) ANY ERRORS OR DEFECTS ON THE SITES, OR WITH RESPECT TO  ROXY GIRL CLUB, REWARDS OR OFFERS WILL BE CORRECTED.

    Article 1 – Organising Company

     

    NA PALI SAS, a simplified joint stock company with a capital of 5.067.884 €, registered with the Bayonne trade register (RCS) under number 331 377 036, and with its head office at 162 rue Belharra, in Saint Jean de Luz, France (hereafter referred to as the “Organising Company”), is holding a free contest with no purchase necessary from 10th January 2023, 5pm CET to 18th February 2023, 5 pm CET included, via @roxy Instagram™ page https://www.instagram.com/roxy/?hl=fr (the “Site”) (the “Game”).

     

    Article 2 – Conditions d’accès

     

    Toute personne physique âgée d’au moins 13 ans ePpeut participer au Jeu-Concours, à l’exclusion des administrateur·ice·s, des dirigeant·e·s, des mandataires, des employé·e·s (ainsi que des membres de leur famille que leur lien d’affiliation soit par le sang, l’adoption, le mariage, le PACS ou le concubinage, et les personnes vivant dans le même foyer) de la Société Organisatrice ou toute autre société du Groupe Boardriders auquel appartient la Société Organisatrice et de manière générale, de toute personne physique ou morale ayant participé de manière directe ou indirecte à la mise en place du Jeu-Concours (toutes les entités citées précédemment, collectivement avec la Société Organisatrice, les « Sociétés »).

     

    Les résidents du Québec, Canada ne sont pas admissibles à participer au Jeu. Les résidents de tout pays soumis à un embargo par les États-Unis, et toute juridiction où ce Jeu est interdit ou restreint, ne sont pas admissibles à participer au Jeu.     The Game is open to any individual over 13 years old. Employees, officers, principals, directors or agents (and their family members, whether related by blood, adoption, marriage, civil partnership or cohabitation, and those living in the same household) of the Organising Company or any other company of the Boardriders group, affiliates advertising agencies, public relations agencies or prize suppliers, including without limitation, vendors providing services in connection with the Game, and any person directly or indirectly involved in the setting up of the Game (all of the foregoing, collectively with Organising Company, the “Companies”), are not eligible to participate.

     

    Residents of Quebec, Canada are not eligible to participate in the Contest. Residents of any country subject to embargo by the United States, and any jurisdiction where this Contest is prohibited or restricted, are also not eligible to participate in the Contest. This Contest is subject to all applicable laws, rules and regulations. Void where prohibited or restricted.

     

    Any contestant under the age of majority in the jurisdiction in which the contestant resides must have the prior consent of their parent or legal guardian to enter the Game and provide personal information.

     

    Article 3 – Participation au Jeu-Concours

    ROUND 1 – Show Us What You Got

     

    Pour participer au Jeu-Concours, toute personne participante doit (la « Candidature ») :

     

    (i)       Publier, entre le 10 janvier 2023 et le 18 février 2023, sur leur page Instagram™ une vidéo montrant une vidéo de surf montant un combo de 3 vagues, 30 secondes maximum au total. Cela suppose l’acceptation des conditions générales et politique de confidentialité de Instagram™ ; et que le profil de la personne participante soit en mode public afin que la vidéo soit accessible à la Société Organisatrice. La vidéo devra être faite en langue anglaise ou, a minima, avoir des sous-titres anglais.

    (ii)      Utiliser le hashtag #StephSurfStars sur la vidéo

    (iii)    Tagger @roxy et @stephaniegilmore

    (iv)    Suivre les pages Instagram™ @roxy et @stephaniegilmore

     

    A l’issue du ROUND 1, dix (10) personnes seront présélectionnées, conformément à l’article 4 ci-dessous afin de participer au ROUND 2.

     

    ROUND 2 – Get to Know You More and Voting Day

     

    Les dix (10) personnes présélectionnées devront, avant le 30 janvier 2023 :

     

    (i)           Envoyer une nouvelle vidéo à la Société Organisatrice, par tout moyen qui sera demandé aux personnes présélectionnées, déterminé à la seule discrétion de la Société Organisatrice. Il s’agira d’une vidéo d’une durée entre 15 et 30 secondes maximum, dans laquelle les personnes présélectionnées devront se présenter (nom, prénom, pays de résidence, histoire, rapport au surf, passions, etc.)

     

    Stephanie Gilmore procédera alors à un tirage au sort entre les dix (10) personnes présélectionnées afin de faire des groupes de deux (2) qui s’affronteront dans des duels via story Instagram™ sur le compte @roxy.

     

    Le 15 février 2023, la Société Organisatrice postera sur le compte Instagram™ @roxy cinq (5) story, disponible durant 24h, faisant s’affronter chaque groupe de deux (2) via leur vidéo, par vote.

     

    A l’issue de cette journée de vote, les personnes qui comptabiliseront le plus de votes sur chaque story @roxy seront qualifiées comme finalistes. En cas d’égalité, les deux participants accéderont à la finale.

     

    FINALE

     

    Les finalistes participeront à la finale et Stephanie Gilmore sélectionnera trois (3) personnes gagnantes parmi elles selon les critères suivants : niveau en surf, style, antécédents et histoire, passion, personnalité.

     

    Chaque personne participante (même nom, même adresse) ne peut participer qu’une fois au Jeu-Concours. Si une personne participante soumet sa candidature plusieurs fois, seule la première candidature envoyée sera retenue par la Société Organisatrice.

     

    La participation ne sera pas prise en considération si les coordonnées fournies sont incorrectes ou incomplètes, si elles ne sont pas conformes aux termes de ce Règlement officiel, ou si elles sont envoyées après la fin du Jeu-Concours. La Société Organisatrice ne sera pas responsable des Candidatures perdues ou tardives ainsi que des Candidatures non reçues, quelle qu'en soit la cause.

     

    Toute Participation sera considérée comme ayant été soumise par le titulaire autorisé du compte au moment de la Réponse (« Titulaire Autorisé du Compte »). Le Titulaire Autorisé du Compte est défini comme la personne physique qui est assignée à un compte sur le Site.

     

    Toute tentative de piratage du système ou d’inscription répétée avec de fausse(s) adresse(s) email(s) entraînera la disqualification des personnes participantes. A la suite d’un contrôle des coordonnées de toute personne gagnante exercé a posteriori, la Société Organisatrice se réserve donc le droit, si l’un des cas ci-dessus était avéré, de ne pas envoyer le Prix éventuellement gagné.

     

    Article 3 – Game Entry

     

    Entering in the Game constitutes contestant’s full and unconditional acceptance of these official rules (the “Official Rules”), available freely during the Game period and Organising Company’s privacy policy as set forth in these Official Rules.

     

    Contestants acknowledge that the Organizing Company is not encouraging the performance of dangerous tricks, stunts or behaviour.

     

    ROUND 1 – Show Us What You Got

     

    The enter the Game, a contestant must simply (the “Entry”):

     

    (i)       Upload, between 10th January 2023 and 18th January 2023, on their personal Instagram™ account a video showing a surf clip of 3 waves combo. 30 seconds maximum. This requires agreement to Instagram™’s terms of use and privacy policy ; and for contestants’ profiles to be public in order for the video to be accessible by the Organizing Company. The video must be in English or with English subtitles.

    (ii)      Use the hashtag #StephSurfStars on their video

    (iii)    Tag @roxy and @stephaniegilmore

    (iv)     Follow @roxy and @stephaniegilmore Instagram’s accounts

     

    At the end of ROUND 1, ten (10) contestants will be pre-selected, according to article 4 below, to participate to ROUND 2.

     

    ROUND 2 – Get To Know You More and Voting Day

     

    The ten (10) pre-selected contestants must, before 30th January 2023:

     

    (i)               Send a new video to the Organizing Company, by any mean unilaterally decided by the Organizing Company, between 15 and 30 seconds to introduce themselves (name, surname, country of residing, background, relation to surf, passions, etc.)

     

    Stephanie Gilmore will proceed to a draw among the ten (10) pre-selected, to split in groups of two (2) to build out Instagram™ poll pairs on @roxy Instagram™ account.

     

    On 15th February, the Organizing Company will post on @roxy Instagram™ five stories, available for 24 hours with split screen selection facing a group of two (2) for a one-day voting poll.

     

    According to article 4 below, the contestants that reach most votes on each @roxy Instagram™ story will be qualified for the final. In case the score is equal, both contestants will be qualified as finalists.

     

    FINAL  

     

    The finalists will participate to the final and Stephanie Gilmore will select three (3) winners according to article 4 below.

     

     

    Each contestant (same name, same address) may submit only one Entry to the Game. If a contestant submits multiple Entries, only the first Entry received by the Organising Company will be taken into account.

     

    Entry will not be taken into consideration if the contact information provided, the hashtag, the tag or any required information is incorrect or incomplete, if they do not comply with the terms of these Official Rules, or if they are sent after the end of the Game. Organising Company is not responsible for lost, late or misdirected Entries or Entries not received, regardless of cause.

     

    In the event of a dispute over who submitted an Entry, the Entry will be deemed to have been submitted by the authorized account holder of the Site account submitted at the time of Entry. "Authorized Account Holder" is defined as the natural person who is assigned to a Site account by the Site.

     

    Any attempt to pirate the inscription system or repeated registration with wrong email address will lead to disqualification of the contestants.  Further to a control carried out after the registration of the participant, the Organizing Company reserves the right to disqualify a participant in the event of any of the cases described above.

     

    Article 4 – Sélection

     

    Ce Jeu-Concours repose sur les compétences des personnes participantes. Ce Jeu-Concours n’est pas un jeu de hasard, la chance ne joue aucun rôle dans la détermination de la personne gagnante.

    ROUND 1 : Stephanie Gilmore sélectionnera dix (10) personnes présélectionnées parmi les Candidatures valides, selon les critères suivants : niveau en surf, style, antécédents et histoire, créativité, passion, personnalité.

    ROUND 2 : A l’issue de chaque jour de vote, la personne qui comptabilisera le plus de votes sur la story @roxy sera qualifiée comme finaliste. En cas d’égalité, les deux participants accéderont à la finale. A l’issue du ROUND 2, il y aura cinq (5) finalistes.

     

    FINALE : Stephanie Gilmore sélectionnera trois (3) personnes gagnantes parmi les finalistes, selon les critères suivants : niveau en surf, style, antécédents et histoire, créativité, passion, personnalité.

     

    Toute personne présélectionnée ou gagnante potentielle sera informée du résultat par la Société Organisatrice ou un·e de ses représentant·e·s, par message direct sur Instagram™ ou à l’adresse email mentionnée lors de son inscription le :

    ROUND 1 : 24 janvier 2023

    ROUND 2 : 16 février 2023

    FINALE : 18 février 2023

    Aucun message ne sera adressé aux autres personnes participantes non sélectionnées.

     

    Toute personne gagnante potentielle devra répondre au message de la Société Organisatrice ou d’un·e de ses représentant·e·s et fournir toutes les informations demandées, le cas échéant, dans les 72h. En l’absence de réponse dans le délai imparti, en cas de disqualification ou si une personne gagnante potentielle ne peut être joint, le Prix sera définitivement perdu sans que cela ne donne lieu à une quelconque indemnité.

     

    Une autre personne gagnante sera tirée au sort par la Société Organisatrice, parmi les deux (2) autres personnes finalistes qui n’avaient pas gagné, dans les 48h.

     

    Toute personne gagnante sera dans l’obligation de prouver sa légitimité à réclamer et recevoir le Prix. Toute personne gagnante autorise toute vérification concernant son identité et son domicile.

     

    Les Sociétés déclinent toute responsabilité pour tout problème d’avis de sélection ou de livraison du Prix découlant d’une erreur dans les coordonnées fournies ou de tout effort infructueux pour notifier toute personne gagnante.

     

    Toutes les décisions de la Société Organisatrice concernant toute personne gagnante seront définitives, exécutoires et sans appel.

     

    Article 4 – Selection of winners

     

    This Contest is a game of skill. Chance plays no part in determining the winners.

     

    No purchase of any kind is necessary in order to enter the Game or win the Prize (as defined in article 5), and chances of winning are not enhanced by making any purchases.

     

    The name of the winners may be posted on the Organising Company’s social media (including but not limited to TikTok™, Facebook™ and/or Instagram™).

     

    ROUND 1: Stephanie Gilmore will select, from eligible Entries submitted, ten (10) pre-selected contestants according to the following criteria: level of surfing, style, background, creativity, passions and personality.

     

    ROUND 2: Each voting day, the contestant that reach most votes on @roxy Instagram™ story will be qualified for the final. In case the score is equal, both contestants will be qualified as finalists.

     

    FINAL: Stephanie Gilmore will select three (3) winners according to the following criteria: level of surfing, style, background, creativity, passions and personality.

     

    The potential pre-selected and winners of each round will be directly informed of the result by the Organizing Company or its designee, via Instagram™ DM or on their email address from where they have been entered on:

    ROUND 1: January 24th 2023

    ROUND 2: February 16th 2023

    FINAL: February 18th 2023.

    No message will be sent to non-winning contestants.

     

    Any potential winner must respond to the Organising Company’s or its designee’s notification email and provide all requested information within 72 hours. If any potential winner cannot be contacted, is disqualified or fails to respond within the prescribed period, such potential winner will forfeit the Prize without this giving rise to any right of indemnity.

     

    An alternate winner will be selected by draw of the Organising Company among the two (2) other non-winning finalists, within 48h.

     

    The winners will be required to prove eligibility to claim and receive the Prize. The winners shall authorize all checks regarding its identity and residence.

     

    The Companies are not responsible for any incorrect or illegible address information or the non-delivery of any Prize resulting therefrom, or for any unsuccessful efforts to notify the winners.

     

    All decisions of the Organising Company about the winners are final, binding and non-appealable.

     

    Article 5 - Prix

     

    Les trois (3) personnes gagnantes recevront :

Dans le cas où les personnes gagnantes ne se rendent pas disponible dans le laps de temps ou en cas de restriction de voyage en 2023 pour cause de Covid 19 notamment, le Prix ne pourra être reporté et sera définitivement perdu, sans compensation ; et

     

    §  Une (1) tenue ROXY de la collection Stephanie Gilmore comprenant un couvre chef, un top, un bas et une paire de chaussures – selon stock et taille disponible, d’une valeur commerciale approximative de 300 € (315 USD) ; et

     

    §  Une (1) planche de surf dédicacée par Stephanie Gilmore, d’une valeur commerciale approximative de 860€ (900 USD).

    Article 5 - Prize

     

    Each of the three (3) winners will receive:

     

    §   One (1) surf experience with Stephanie Gilmore. During the year 2023, Stephanie will visit each Country of residence of the winners to share a half a day surf experience. The date of the stay will be chosen according to availability of the winners and Stephanie Gilmore. However, the trip shall occur in 2023. In case the winners are not available on the dates indicated above, or in the event of any travel restrictions during 2023, in particular due to Covid 19, the Prize will be cancelled and lost without any compensation; and

     

    §  One (1) ROXY outfit Stephanie Gilmore collection, including one hat, one top, one bottom, one pair of shoes, with approximate commercial value of 300 € (315 USD); and

     

    §  One (1) surfboard signed by Stephanie Gilmore, with approximate commercial value of 860 € (900 USD).

    Article 6 – Limitation de responsabilité

     

    Les Sociétés se dégagent de toute responsabilité quant aux éventuelles contestations relatives aux modalités d'attribution du Prix.

    a.       Le Prix est fourni « EN L’ÉTAT », sans aucune garantie, expresse ou implicite. Aucune demande de remplacement, d’échange ou de transfert du Prix ne sera admise. La Société Organisatrice se réserve le droit de remplacer le prix par un autre prix d’une valeur égale ou supérieure, à son entière discrétion. Le Prix ne pourra être échangé ou remboursé contre une somme d’argent.

    b.      Les photographies montrant le Prix sont communiquées à titre d'illustration uniquement et ne peuvent en aucun cas être considérées comme représentant le Prix.

    c.       Les Sociétés ne pourront en aucun cas être tenues responsable de tout retard dans l'attribution du Prix ou dans le cas où une personne gagnante ne pourrait se voir attribuer le Prix pour des raisons indépendantes de la volonté des Sociétés. Si le Prix ne peut être envoyé par voie postale, les conditions d'acceptation du Prix lui/leur seront précisées par e-mail ou par tout autre moyen à la convenance de la Société Organisatrice.

    d.      Le cas échéant, toute personne gagnante est tenue de s’assurer de disposer de l’ensemble des documents de voyage et des pièces d’identité valables exigibles par les compagnies aériennes, les services de sécurité et les administrations.

    e.       En cas d’incapacité de toute personne gagnante à voyager pendant la période indiquée, le Prix sera entièrement perdu, sans compensation de la part des Sociétés ni autre obligation.

    f.       Les vols seront soumis aux règles tarifaires et aux conditions générales de transport de la compagnie sélectionnée. Ils seront limités aux services réguliers de la compagnie sélectionnée et seront fonction des restrictions saisonnières et des disponibilités au moment de la réservation. La Société Organisatrice rejette toute responsabilité en cas d’annulation, de retard ou de report des vols.

    g.      Sauf indication contraire, toute autre dépense sera à la charge de toute personne gagnante y compris, sans s’y limiter, les frais d’excédent de bagage et autres frais d’aéroport, taxes et suppléments susceptibles de s’appliquer, les dépenses courantes, les activités, repas et boissons, les pourboires, les frais téléphoniques, administratifs, de transport notamment entre la résidence et les points/aéroports de départ et d’arrivée, de mini-bar, de blanchisserie, de service de chambre, de divertissement, d’excursion, d’assurance voyage, d’émission de passeport et tous autres frais annexes. Une copie de carte de crédit ou une caution en espèces pourra être demandée à toute personne gagnante au moment de la réservation de l’hébergement pour couvrir les frais annexes. Une assurance voyage est fortement recommandée pour couvrir les frais supplémentaires imprévus.

     

    En participant au Jeu-Concours, toute personne participante accepte de décharger et d’exonérer de responsabilité les Sociétés ainsi que tout réseau social utilisé pour promouvoir ou administrer le Jeu-Concours (notamment TikTok™, FacebookTM, et InstagramTM) et leurs sociétés mères, filiales, sociétés affiliées, partenaires, employés, directeurs, agents, actionnaires, agences de publicité, représentants, successeurs et cessionnaires de toute responsabilité liée à tout dommage, blessure, perte et/ou réclamation de toute nature en relation avec le Jeu-Concours ou résultant de leur participation au Jeu-Concours ou de la réception, l’acceptation, la possession, l’utilisation et/ou la mauvaise utilisation du Prix. Toutes les taxes provinciales, fédérales, étatiques, locales et / ou autres sont à la charge exclusive de toute personne gagnante.

     

    Le Jeu-Concours n’est en aucun cas sponsorisé, administré ou associé à TikTok™, FacebookTM et/ou InstagramTM. En participant au Jeu-Concours, les personnes participantes libèrent TikToki™, Facebook™ et/ ou Instragram ™ et ses sociétés mères, filiales, affiliés, associés, employés, directeurs, agents, et agences de publicité de toutes réclamations, demande, pertes, préjudices, émergeant à la suite de la Candidature et/ou participation au Jeu-Concours et/ou l’acceptation, la réception, l’utilisation ou la mauvaise utilisation du Prix.

     

    Article 6 – Limitation of liability

     

    The Companies decline any liability for any dispute concerning the awarding of the Prize.

     

    Prize Conditions:

    a.      Prize is “AS IS” without any warranty of any kind, express or implied.  No substitution, exchange or transfer of Prize will be made or is permitted except in Organising Company’s sole discretion. The Organising Company reserves the right to substitute the Prize for an alternative prize of equal or greater value in the Organising Company’s sole and absolute discretion.  The Prize cannot be exchanged/redeemed for cash.

    b.      The pictures introducing the Prize are for illustrative purposes only and can under no circumstances be considered as representing the Prize.

    c.       The Companies shall not under any circumstances be held liable for any delay in awarding the Prize or in the event that the winners cannot be awarded the Prize for reasons beyond the control of the Companies. If the Prize cannot be sent by post, the terms for accepting the Prize will be specified to the winners in the Prize confirmation by email or by any other means at the convenience of the Organising Company.

    d.      If necessary, winners will be responsible for all travel documents and identification acceptable to airlines, security and governmental agencies.

    e.       In the event that any winner is unable to travel during the stipulated period then such winner forfeits the entire Prize with no further compensation or further liability of the Companies. 

    f.        Flights are subject to the fare rules and General Conditions of Carriage of the relevant carrier. Air tickets are available on the regular scheduled services of each airline and are subject to seasonal embargos and availability at the time of booking. The Companies are not responsible for any cancellation, delay or rescheduling of flights.

    g.      Unless otherwise specified all other expenses are the responsibility of the winners including but not limited to airline excess baggage fees or other fees, taxes and surcharges, spending money, transport to and from departure and arrival points/airport, incidentals, activities, food, drinks, alcohol, mini-bar, laundry, room service, telephone calls, gratuities, services charges, travel insurance, passports, and all other ancillary costs. A credit card imprint or cash deposit may be required from the winners at time of accommodation check-in to cover incidental charges. Travel insurance is highly recommended to protect against the additional costs incurred in the event of unforeseen circumstances.

     

    By entering the Game, contestants release, discharge and hold the Companies and any social media companies used in promoting or administering the Game (including, without limitation, TikTok™ Facebook™ and Instagram™) and their respective parent companies, affiliates, subsidiaries, advertising agencies, directors, officers, shareholders, partners, members, managers, employees, agents, representatives, successors and assigns harmless from and against any and all damages, claims, or losses of any kind in connection with the Game or resulting from Entry into the Game, or receipt, acceptance, possession or use and/or misuse of the Prize. The foregoing includes, without limitation, any claim for personal injury, property loss or damage, or death arising in any way in connection with the Game. All provincial, federal, state, local and/or other taxes are the sole responsibility of the winners.

     

    The Game is in no way sponsored, endorsed, administered by or associated with Facebook™, TikTok™ and/or Instagram™. By entering, the contestants release TikTok™, Facebook™ and/or Instagram™ and its respective parent companies, subsidiaries, affiliates, partners, employees, directors, agents and advertising agencies from and against any and all injury, loss or damage caused or claimed to be caused by the Entries or participations in the Game and/or the acceptance, awarding, receipt, use and/or misuse of the Prize.

     

    Article 7 – Réseau Internet

    Les Sociétés ne garantissent pas que le site Internet et/ou le Jeu-Concours fonctionne sans interruption, qu’ils ne contiennent pas d’erreurs informatiques ni que les défauts constatés seront corrigés.

     

    Les Sociétés ne pourront être tenues responsable en cas de dysfonctionnement technique du Jeu-Concours, si les personnes participantes ne parviennent pas à se connecter au site du Jeu-Concours, à s’inscrire ou à voter, si les données relatives à l'inscription d'une personne participante ne lui parvenait pas pour une quelconque raison dont elle ne pourrait être tenue responsable (par exemple, un problème de connexion à Internet dû à une quelconque raison chez l'utilisateur) ou lui arriveraient illisibles ou impossible à traiter (par exemple, si le joueur possède un matériel informatique ou un environnement logiciel inadéquat pour son inscription) ou en cas de problèmes d'acheminement des courriers électroniques. Les personnes participantes ne pourront prétendre à aucun dédommagement à ce titre.

     

    De la même manière, les Sociétés ne sauraient être tenues responsables de tout dommage, matériel ou immatériel causé aux personnes participantes, à leurs équipements informatiques et aux données qui y sont stockées, ou de toutes conséquences directes ou indirectes pouvant en découler, notamment sur leur activité personnelle, professionnelle ou commerciale. La Société Organisatrice se réserve le droit, à sa seule discrétion, de disqualifier toute personne participante qui tenterait de pirater le système d’inscription ou le déroulement du Concours, enfreindrait le Règlement Officiel, ou agirait de manière antisportive ou perturbatrice, ou dans l'intention de gêner, menacer ou harceler toute autre personne participante.

     

    Article 7 – Internet network

     

    Entering the Game implies the contestant’s knowledge and acceptance of the Internet's characteristics and limitations, particularly with regard to technical performance, response times when checking, querying or transferring data, the risks of interruption, connection-related risks, the lack of protection against possible diversion of certain data and risks of contamination by any viruses in circulation on the Internet. The Companies may not be held liable, in particular, for malfunctions that may affect the Internet or for any problem with the configuration or relating to a specific browser.

     

     

     

    The Companies do not guarantee that the Site and/or Game shall operate without any interruption, that they do not contain any computing errors, or that any detected errors will be corrected.

     

    The Companies may not be held liable in the event of a technical malfunction in the Game, if contestants are not able to log on to the Site or to enter the Game, if it does not receive the data relating to a contestant’s Entry for any reason for which it may not be held liable (for example, an Internet connection problem due to any reason at the user’s premises), or if an Entry is illegible or impossible to process (for example, if the contestant has hardware or a software environment that does not comply with their subscription) or in the event of email routing problems. Contestants will not be entitled to any compensation in this regard.

     

    Moreover, the Companies shall not be held liable for any damage, material or immaterial, caused to contestants, their computer equipment and the data stored therein, or for any direct or indirect consequences that may ensue, particularly consequences on their personal, professional or commercial activity.  The Organising Company reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Game, violates the Official Rules, or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. 

     

    Article 8 – Garanties des personnes participantes

     

    Les personnes participantes s’engagent envers les Sociétés à ne transmettre aucun contenu diffamatoire, calomnieux, obscène ou plagié, et garantissent que l’utilisation par les Sociétés de leur Candidature ou de toute information contenue dans celle-ci ne portera atteinte aux droits d’auteur, de marque, à la vie privée ou autres droits d’aucun tiers. Les personnes participantes acceptent d’indemniser et d’exonérer les Sociétés de tout frais et de toute dépense (y compris les frais d’avocat raisonnables) qui découleraient d’une violation de l’une quelconque des garanties ou des déclarations susmentionnées. Ces garanties et déclarations ne s’appliquent pas aux contenus non fournis par les personnes participantes.

     

    En participant au Jeu-Concours concours, les personnes participantes accordent aux Sociétés et leurs respectifs ayants droit et concessionnaires, dans le monde entier, pour toute la durée des droits d'auteur et sans restriction quant à la fréquence d'utilisation, le droit (et non pas l’obligation) d’utiliser, publier, télécharger et afficher le nom de toute personne gagnante, ses photos ou tout signe de son identité ou apparence ou toute information à cet égard relative au Jeu-Concours, pour la promotion du Jeu-Concours, sur tout support, notamment sur ses pages de réseaux sociaux dont le compte Instagram™ et/ou Facebook™, ainsi que sur ses blogs et autres sites Web, ses produits et ses supports promotionnels.

     

    Article 8 – Participant guarantees

     

    Contestants represent and warrant to the Companies that their Entry are not libellous, slanderous, obscene and do not plagiarize; and that the Companies’ use of the Entry or any information contained therein as contemplated herein will not infringe upon any copyright, trademark, right of privacy or any other rights whatsoever of any third party. Each contestant shall hold the Companies harmless and shall indemnify the Companies for all costs and expenses (including reasonable attorney fees) in the event of a breach of any of the foregoing warranties or representations. These warranties and representations do not extend to any material not furnished by contestants.

     

    By entering in the Game, each contestant grants the Companies as well as their assigns and licensees, throughout the world, for the whole length of the copyrights and without restriction as to the frequency of use, the right (but not the obligation) to use, post, upload, pin, publish and display the Entry, the winners’s name, photograph or any other indicia of identity or likeness or information therein made relating to the Game for the promotion of the Game on any medium, notably but not exhaustively on the Companies’ social media sites, including but not restricted to the Organising Company’s Facebookand Instagram account, blogs and other websites, products and promotional materials.   

     

    Article 9 – Application du Règlement Officiel

     

    La nullité ou l’inapplicabilité de toute disposition du Règlement officiel ne saurait affecter la validité ou la force exécutoire de toute autre disposition. Si l’une quelconque des dispositions est jugée nulle, inapplicable ou illégale, le Règlement officiel demeurera en vigueur et devra être interprété selon ses conditions comme si la disposition nulle ou illégale ne faisait pas partie du Règlement officiel.     Article 9 – Application of the Official Rules

     

    The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.  In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Organising Company’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

    Article 10 - Réclamations

     

    La participation à ce Jeu-Concours implique l’acceptation pleine et entière des modalités énoncées dans le Règlement officiel.

     

    Tout manquement à l’une des dispositions du Règlement officiel entraînera l’exclusion de la personne participante autrice dudit manquement. Toute contestation éventuelle sur son interprétation sera tranchée par la Société Organisatrice.

     

    Toute réclamation devra être adressée avant le 18 février 2023 par lettre recommandée avec accusé de réception à NA PALI SAS, ROXY, Service Marketing, 162 rue Belharra, 64500 Saint Jean de Luz, France. Ces réclamations ne pourront porter que sur des conditions matérielles de déroulement du Jeu-Concours.

     

    Article 10 - Complaints

     

    Entering this Game implies full and unreserved acceptance of the terms set out in these Official Rules.

     

    Any breach of a term of these Official Rules will disqualify the contestant who has committed the breach. Any dispute on the interpretation of the Official Rules will be settled by the Organising Company.

     

    Any complaint about the Game must be sent before February 18th 2023 by registered letter to NA PALI SAS, ROXY, Marketing department, 162 rue Belharra, 64500, Saint Jean de Luz, France. These complaints may only concern material conditions of the Game’s implementation.

     

    Article 11 – Modification du règlement et fraude

     

    La Société Organisatrice se réserve la possibilité de modifier, à tout moment, le Règlement officiel et informera les personnes participantes de tout changement qu’elle estime significatif au moins trente (30) jours avant l’entrée en vigueur de ce changement matériel. La Société Organisatrice se réserve également la possibilité de prendre toute décision qu'elle pourrait estimer utile pour l'application et l'interprétation du Règlement officiel, et pourra en informer les personnes participantes par tout moyen de son choix. La Société Organisatrice se réserve également le droit de modifier, prolonger, écourter, suspendre ou annuler le Jeu-Concours, de disqualifier toute personne participante, à son entière discrétion et sans préavis, en raison de, incluant sans s’y limiter, tout événement indépendant de sa volonté et notamment en cas d’événement constituant un cas de force majeure ou un cas fortuit.

     

    La Société Organisatrice se réservera en particulier le droit s’il y a lieu d’invalider et/ou d’annuler tout ou partie du Jeu-Concours s'il apparaît que des fraudes ou des dysfonctionnements sont intervenus sous quelque forme que ce soit, dans le cadre de la participation au Jeu-Concours ou de la détermination de toute personne gagnante. Elle se réserve, dans cette hypothèse, le droit de ne pas attribuer le Prix aux fraudeurs et/ou de poursuivre devant les juridictions compétentes les auteurs de ces fraudes. La fraude entraîne la disqualification immédiate de son auteur.

     

    La responsabilité des Sociétés ne saurait être engagée au titre de ce qui précède et les personnes participantes ne pourront donc prétendre à aucun dédommagement ou indemnité de quelle que nature que ce soit.

     

    Article 11 – Official Rules amendment and fraud

     

    The Organising Company reserves the right to revise these Official Rules at any time and will inform the contestants of any significant changes at least thirty (30) days prior to the application of this material change. The Organizing Company also reserves the right to take any decisions it deems useful for the application and interpretation of the Official Rules. The Organising Company may inform contestants of a revision by any means of its choosing. The Organising Company also reserves the right to modify, extend, cut short, suspend or cancel the Game and to disqualify any contestants, in its sole discretion and without warning, for any reason, including (but not limited to) due to an event beyond its control, and in particular in the event of force majeure or an act of God or if the Game is not capable of running as planned.

     

     

    The Organising Company reserves the right, in particular, if there is due cause, to declare invalid and/or cancel all or part of the Game if it appears that fraud or malfunctions have occurred in any form whatsoever, particularly in computing aspects within the framework of Entry to the Game or determination of the winners. In this case, it reserves the right not to award the Prize to the fraudulent contestants and/or to commence legal proceedings against the persons having committed the fraud. An act of fraud immediately disqualifies the person having committed it.

     

    The Companies will not be liable in regard to the forgoing, and therefore the contestants will not be entitled to any indemnity or compensation of any nature.

    La base juridique du traitement des données à caractère personnel des personnes participantes est (i) le contrat entre la personne participante et la Société Organisatrice, matérialisé par le Règlement, et, le cas échéant, (ii) le consentement de la personne participante, dès lors qu’il est requis.

    Article 12 – Personal data protection

     

    The Organising Company, as identified in Article 1 above, is in charge of processing the personal data of the contestants.

     

    It is reminded that to enter the Game, the contestants must necessarily provide certain personal information relating to them (name, address, etc.), otherwise participation in the Game will not be finalized. This information is recorded and saved in an electronic file and is essential to the eligibility of their Entry, the determination of the winners and the attribution and routing of the Prize.     3. HOW WE USE THE INFORMATION COLLECTED

    Aggregated Information: In an ongoing effort to better understand and to serve the users of the Sites, we (either directly or working in concert with our marketing services providers) may conduct research on our customer demographics, interests and behavior based on Personal Information and other information that has been provided or received by us. For example, we may combine information about visitors to the Sites to determine how best to target our marketing and the products that we offer in certain areas of the country. This research may be compiled and analyzed on an aggregate basis and this aggregate information does not identify you personally and is not classified or treated as Personal Information under this Privacy Policy.

     

    4. HOW WE SHARE YOUR INFORMATION

     

    We may share the information described in Section 1 above to the following categories of third parties in the following circumstances:

     

    Order Fulfillment and Fraud Protection:  If you choose to make a purchase on the Sites, we may collect from you your credit card number, billing address and other information related to such purchase, and we may use such collected information in order to fulfill your purchase. We may also provide such information, or other Personal Information provided by you, to unaffiliated third parties as necessary to complete your purchase (for example, to process your credit card). In addition, we may share your Personal Information with fraud protection services to assist us in preventing fraud and protecting our customers from credit card fraud.

     

    Business Transfers: As with any business, it is possible that as our business develops, we might sell, assign, buy, transfer or otherwise acquire or dispose of certain businesses or corporate assets. In the event of such or similar event, Personal Information may be part of the transferred assets. In the event that all or part of our assets are sold or acquired by another party, or in the event of a merger, you grant us the right to assign your Personal Information collected via the Sites, and you acknowledge and agree that any successor to or acquirer of us and/or our eCommerce service provider will continue to have the right to use your Personal Information and other information in accordance with the terms of this Privacy Policy.

     

    Subsidiaries and Affiliates: We may also share your Personal Information with our subsidiaries and/or affiliates. Our subsidiaries and affiliates will be bound to treat and to maintain any Personal Information in accordance with this Privacy Policy.

     

    Agents, Consultants and Related Third Parties: As noted above with respect to our eCommerce service provider, we sometimes engage other companies to perform certain business-related functions on our behalf so that we can focus on our core business. Examples of these services include, but are not limited to, payment processing and authorization, fraud protection and credit risk reduction, product customization, order fulfillment and shipping, marketing and promotional material distribution, website evaluation, data analysis and, where applicable, data cleansing. In connection with services those partners provide for us, we may provide or otherwise give them access to certain Personal Information. We employ a vetting process to assess our partners’ data protection practices.

     

    Third-Party Marketers, Partners, and other Third Parties: We may also share your Personal Information with other marketers, partners, and other third parties, whose products or services we feel may be of interest to you. These third-party marketers, partners, and other third parties may use your Personal Information for their own purposes, or further disclose your information to other third parties.     Legal Requirements: We may disclose your Personal Information if required to do so by law (including, without limitation, responding to a subpoena or request from law enforcement, court or government agency) or in the good faith belief that such action is necessary (i) to comply with a legal obligation, (ii) to protect or defend our rights, interests or property or that of other customers or users, (iii) to act in urgent circumstances to protect the personal safety of users of the Sites or the public or (iv) to protect against legal liability or potential fraud, as determined in our sole discretion.

     

    5. HOW TO ACCESS, CORRECT AND UPDATE YOUR PERSONAL INFORMATION

     

    You can access, correct and/or update certain Personal Information that you have provided to us by clicking on "Update Account" within the "My Account" area of the Sites. California residents may also refer to the section entitled Your California Privacy Rights.

     

    6. STEPS TAKEN TO KEEP YOUR INFORMATION SECURE

If you have created and maintained a user account on the Sites, you will be able to sign in and update your account (including contact) information. You may also write to us at the address provided in Section 16 to update your contact information or to change your subscription preferences. In addition, you may:

     

    Limit the  Personal Information You Provide: You can use the Sites and limit the Personal Information you provide either by disabling cookies or by not registering an account with us. If you choose to limit the Personal Information you provide and/or to disable cookies, you may not be able to use certain functionalities of the Sites. For instance, in order to purchase goods and services on the Sites, payment and shipping information must necessarily be provided.

     

    Manage Your Subscription Preferences: We may send your information by email or text message. If you provide your mobile phone number and ask to receive information by text message, we may provide information in that manner. Additionally, we may send automated text messages (if you provide consent). Where you consent to receive automated text messages from us, please note that your consent includes consent to receive both autodialed and/or pre-recorded telemarketing text messages or non-automated messages from or on behalf of the Company and its affiliated companies at the telephone number you provided.     Opt Out of Marketing Emails and Texts: For email marketing, you will have an opportunity to change your subscription preferences by clicking on an "unsubscribe" hyperlink contained in all promotional emails sent by us or on our behalf. Please note that while we honor all subscription requests as timely as possible, it may take up to ten (10) business days to become effective. Please be aware that even if you opt-out of receiving future promotional communications, you may, if you utilize the eCommerce features of the Sites, be sent certain transactional communications related to the purchase or shipment of items purchased. Thus, if you order online, we will send you an email confirming your order and may need to contact you by phone, email or regular mail if we have questions about your order. Additionally, an opt-out will not remove you from messages that we are required to send under relevant laws or regulations.     9. HOW WE RESPOND TO DO NOT TRACK SIGNALS

     

    Please note that our Sites do not support “Do Not Track” browser settings and do not currently participate in any “Do Not Track” frameworks that would allow us to respond to signals or other mechanisms from you regarding the collection of your Personal Information.

     

    10. INFORMATION COLLECTED FROM CHILDREN

     

    Protecting the privacy of children is extremely important to us. The Sites are directed toward a general audience and are not directed at nor intended for use by children under the age of 13.     13. DISPUTES AND AGREEMENT TO ARBITRATE

     

    Except where and to the extent prohibited by law, which may include the province of Quebec, by using the Sites, you and the Company agree that, if there is any controversy, claim, action, or dispute arising out of or related to your use of the Sites, or the breach, enforcement, interpretation, or validity of this Privacy Policy or any part of it ("Dispute"), both parties shall first try in good faith to settle such Dispute by providing written notice to the other party describing the facts and circumstances of the Dispute and allowing the receiving party 30 days in which to respond to or settle the Dispute. Notice shall be sent:

    • to you at: your last-used billing address or the billing and/or shipping address that we may have on file for you.

    Both you and the Company agree that this dispute resolution procedure is a condition precedent that must be satisfied before initiating any litigation or filing any claim against the other party. IF ANY DISPUTE CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Other rights that you and we would have in court will not be available or will be more limited in arbitration, including discovery and appeal rights. All such Disputes shall be exclusively submitted to JAMS (www.jamsadr.com) for binding arbitration under its rules then in effect, before one arbitrator to be mutually agreed upon by both parties.

     

    The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability, or formation of this Privacy Policy, including any claim that all or any part of this Privacy Policy is void or voidable.

     

    14. CHOICE OF LAW

     

    This Privacy Policy has been made in, and shall be construed in accordance with, the laws of the State of California, without giving effect to any conflict of law principles. The parties acknowledge that this Privacy Policy evidences a transaction involving interstate commerce. Notwithstanding the provision in the preceding paragraph with respect to applicable substantive law, any arbitration conducted pursuant to the terms of this Privacy Policy shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16).

    This section of the Privacy Policy applies if you are a resident of California and use our Site.

    • You have the right to know and request, no more than twice in a 12-month period, information about the categories of Personal Information we have collected about you, as well as the categories of sources from which such information is collected, the purpose for collecting such information, and the categories of third parties with whom we share such information. You also have the right to know if we have sold your Personal Information or disclosed your Personal Information for a business purpose, and, if so, the categories of Personal Information we sold or disclosed for a business purpose. You also have the right to request the specific pieces of Personal Information we have collected about you and the third parties to whom we may disclose Personal Information. We will endeavor to respond to a verified request within forty-five (45) days of its receipt.     Welcome to Boardriders’ websites which include Boardriders.com, Quiksilver.com, Roxy.com, Billabong.com, RVCA.com, DCShoes.com, ElementBrand.com, Vonzipper.com, HonaluaSurf.com, Dot-Shades.com, BoardridersFoundation.com, and all affiliated domains, apps or services that link to these Terms of Use, through related mobile applications, in-store data collection forms or devices, and any location where these Terms of Use are posted (collectively the “Sites”). The following terms together with any rules, program terms, guidelines, policies and directions govern your use of the Sites (the “Agreement”).

Notice shall be sent:

    To you at: your last-used billing address or the billing and/or shipping address that you provide us. 

     

    You and we agree that this dispute resolution procedure is a condition that must be satisfied before initiating any other action or filing any claim against the other party. IF ANY DISPUTE (including any dispute between you and a third-party agent of Boardriders) CANNOT BE RESOLVED BY THE ABOVE DISPUTE RESOLUTION PROCEDURE, YOU AGREE THAT THE SOLE AND EXCLUSIVE JURISDICTION FOR SUCH DISPUTE WILL BE DECIDED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS. ARBITRATION ON AN INDIVIDUAL BASIS MEANS THAT YOU WILL NOT HAVE, AND YOU WAIVE, THE RIGHT FOR A JUDGE OR JURY TO DECIDE YOUR CLAIMS, AND THAT YOU MAY NOT PROCEED IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE CAPACITY. Other rights that you and we would have in court will not be available or will be more limited in arbitration, including discovery and appeal rights. All such Disputes shall be exclusively submitted to JAMS (www.jamsadr.com) for binding arbitration under its rules then in effect, before one arbitrator to be mutually agreed upon by both parties. 

     

    The arbitrator, and not any federal, state, or local court or agency, shall have exclusive authority to resolve any dispute arising under or relating to the interpretation, applicability, enforceability, or formation of this Agreement, including any claim that all or any part of these terms are void or voidable.  

     

    6. INTELLECTUAL PROPERTY 

     

    Trademarks: Boardriders, Quiksilver, Billabong, Roxy, DC Shoes, RVCA, Element, Vonzipper, Honolua, Dot Dash, Kustom, and other trademarks, service marks, logos, trade names, trade dress, titles, and product names appearing on our Sites are trademarks or registered trademarks of Boardriders and its affiliates, subsidiaries, licensors and licensees (including DC Shoes, Inc.) in the United States and/or other countries. All rights in such names are hereby reserved. The use or misuse of these trademarks or any materials, except as permitted herein, is expressly prohibited, and nothing stated or implied on the Sites confers on you any license or right under any patent or trademark owned or controlled by us or any third party.  

     

    Copyright: All information, text, images, photographs, graphics, videos, music, user interface and other content and materials contained on the Sites are the copyrighted property of us or our third-party licensors to the full extent provided under the United States Copyright Act and all international copyright laws. Under applicable copyright laws, you are prohibited from copying, reproducing, modifying, distributing, displaying, performing, or transmitting any of the contents of the Sites for any purposes. Nothing stated or implied on the Sites confers on you any license or right under any copyright of ours or any third party. The Sites and the information contained on the Sites are for your personal, non-commercial use only. Except as otherwise specifically permitted herein, you shall not broadcast, duplicate, copy, reproduce, edit, manipulate, modify, publish, rent, sell, publicly display, perform, distribute, transmit, or circulate to anyone the contents of the Sites, or use the contents of the Sites in litigation, or for any commercial or promotional purposes, without the express written consent of Boardriders or its lawful successors and assigns.     We respect and honor the intellectual property of others. If you believe that your work has been copied and is accessible on the Sites in a way that constitutes copyright infringement, please provide our copyright agent with the following information: 

     

    (1) Description of the copyrighted work claimed to have been infringed; 
    (2) Identification of the allegedly infringing material on the Sites including the URL where the material is available  or a copy of it; 
    (3) The name, address, daytime telephone number, and an email address of the person submitting the notice, so that we may contact you; 
    (4) A statement in “good faith belief” that the use of the work is not authorized by the copyright owner, its agent, or the law; 
    (5) A statement that all of the information in the notification is accurate and, under penalty of perjury, that the signatory is the copyright owner or authorized to act on behalf of the copyright owner; and 
    (6) An electronic or physical signature of the copyright owner or someone authorized on the owner's behalf.

    8. REGISTRATION FOR AN ACCOUNT 

     

    You do not have to register to view the Sites. However, you must be eligible and register for an account to access certain services or areas of the Sites, for example to become a member of the Boardriders Club. To register, you must create a user account, which requires you to provide your email address, mailing address including zip code, mobile number, birth date, and select a password. You must provide accurate, complete and updated registration information. You are solely responsible for all activity that occurs under your account, password or profile, and you must keep your account password secure. You are fully responsible for your failure to safeguard information and/or to permit any other person to use the Sites with your profile and/or account. You may not sell or transfer your profile or account. You must notify Boardriders immediately of any breach of security or unauthorized use of your account. We will not be responsible for any losses caused by any unauthorized use of your account.  

     

    Boardriders reserves the right to refuse registration or terminate, suspend, or cancel access to a user account at any time in its sole discretion. Such suspension or cancellation of your account will mean that you may lose access to the Sites, your account details, and any Comments (defined below) or content therein. You may also terminate or discontinue your own account at any time by sending an email request to accounts@boardriders.com

     

    9. RETURNS, REFUNDS, SHIPPING, AND ORDER CANCELLATIONS

    10. COMMENTS AND OTHER SUBMISSIONS 

     

    We welcome your comments and feedback about the Sites and our products. In some places the Sites enable you to upload, store, and send content such as sweepstakes and contest entries, photographs, images, product reviews, testimonials, suggestions, ideas, comments or other communications (collectively, “Comments”). When you send Comments to us, whether through the Sites, social media, email, phone, postal mail, or otherwise, you give to Boardriders permission to reproduce and use your Comments as follows: you grant to us and those we work with a license without restriction to use, reproduce, sublicense, create derivative works from, modify, publish, edit, translate, distribute, copy, host, store, publicly perform, and publicly display the Comments in any medium now known or later developed. You should not submit any Comments to us that you do not wish to license to us. Our license to your Comments is non-exclusive, meaning you may use the Comments for your own purposes or let others use your Comments for their purposes. This license is fully-paid and royalty free, meaning we do not owe you anything else in connection with our use of your Comments. We may exercise our rights under this license anywhere in the world. Lastly, this license is perpetual, meaning that our rights under this license continue even after you stop using the Sites. Boardriders is under no obligation: (1) to maintain Comments in confidence; (2) to pay compensation for Comments; (3) to respond to Comments; or (4) to use Comments. You grant  Boardriders the right to use the name you submit with your Comments.  

     

     

    You agree that your Comments will not violate any right of any third party, including copyright, trademark, privacy or other personal or proprietary right. You further agree that your Comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Sites. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third parties as to the origin of any Comments. You agree to clearly and conspicuously disclose if you received compensation or other incentive of any kind, from any source, in exchange for posting Comments. You are solely responsible for any Comments you make and their accuracy. Boardriders takes no responsibility and assumes no liability for any Comments posted by you or any third party. 

     

     

    11. LICENSE AND SITE ACCESS 

     

    We grant you a personal, limited, revocable license to access and make personal use of the Sites but not to download (other than page caching) or modify any portion of the Sites. This license does not include any resale or commercial use of the Sites or their contents; any collection and use of any product listings, descriptions, or prices; any derivative use of the Sites or their contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, spiders or similar data gathering and extraction tools.  

     

    Unless you have our prior express written consent, you may not: (1) reproduce, duplicate, copy, sell or otherwise use any portion of the Site for commercial purpose, (2) frame or use framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Boardriders, DC Shoes and its affiliates, licensors or licensees, or (3) use meta tags or any other hidden text using our brand names or trademarks. Any unauthorized use will immediately terminate the license granted by us.  

     

    You are granted a limited, revocable right to create a hyperlink to the home page of the Sites so long as the link does not portray Boardriders or its brands, products or services in a false, misleading, derogatory, or otherwise offensive manner as determined by us in our sole discretion. You may not use any of our logos or other proprietary graphic or trademark as part of the link without our express written permission. You may not make any other part of the Sites, other than the home page of the Sites, available as part of another service by “deep linking,” or otherwise, without our prior written permission. Any permitted links to the Sites must comply will all applicable laws, rules and regulations. 

     

    12. THIRD-PARTY SITES AND HYPERLINKS 

     

    The Sites may contain hyperlinks (“links”) to other websites not under the control of Boardriders or to co-branded websites operated by a third party. We provide such links for your reference and convenience only. Boardriders has no responsibility for these third-party websites nor does linking mean Boardriders endorses the website. If you use the links, you will leave our Sites and your activities will be governed by other terms and conditions and privacy practices. We strongly encourage you to make any investigation you feel necessary before proceeding with a transaction with any of these third-parties. 

     

    13. YOUR RESPONSIBILITIES 

     

    You are responsible for your use of the Sites and any use made using your account. By using the Sites, you agree not to violate or attempt to violate the security of the Sites, including: 


     
    • attempting to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures; 
    • sending unsolicited or unauthorized email, text, or other solicitation;  
    • interfering with, limiting, destroying, or disrupting the Sites, services connected to the Sites, or otherwise interfering with the technological operations or services of the Sites; 
    • violating, infringing or misappropriating other people’s intellectual property, privacy, publicity or other legal rights; 
    •  sharing or posting a Comment or information that is false, misleading, harmful to reputation, abusive, harassing, vulgar, obscene, libelous, hateful, or racially, ethnically or otherwise objectionable, as determined by us in our sole discretion; 
    • spidering or harvesting or otherwise automatically collecting any information or data from the Sites; 
    • attempting to scrap or crawl any pages on the Sites;  
    • copying, deciphering, disassembling, creating a derivative work of, reverse engineering, decompiling or otherwise attempting to extract any of the software or other underlying code used to provide the Sites; 
    • violating any law, regulation or order; or 
    • advocating, encouraging, or assisting anyone in doing any of the above.  

     

    14. TERMINATION OR RESTRICTION 

     

    We reserve the right, in our sole discretion, to terminate or restrict your access to the Sites, refuse service, or cancel orders.  

     

    15. RISK OF LOSS 

     

    All products purchased from the Sites are transported and delivered to you by an independent carrier not affiliated with, or controlled by, Boardriders. Title to products purchased on the Sites, as well as the risk of loss for such products, passes to you when we deliver these items to the carrier. 

     

    16. PRODUCT INFORMATION 

     

    We attempt to be accurate in describing our products and services on the Sites. We do not warrant that product and service descriptions or other content of the Sites are complete, reliable, current, or error-free. 

     

    We have made every effort to display and describe as accurately as possible the colors of our products that appear on the Sites. However, as the actual colors you see depend on your computer monitor and other factors beyond our control, we cannot guarantee that your computer's display of any color on the Sites will be accurate. 

     

    Most of our products displayed on the Sites are available in select retail stores in the United States and Canada while supplies last. In some cases, merchandise displayed for sale at the Sites may not be available in retail stores and may become unavailable at any time. Unless otherwise stated, the prices displayed at the Sites are quoted in U.S. or Canadian Dollars. 

     

    17. DISCLAIMER OF WARRANTIES AND LIMITATIONS ON LIABILITY 

     

    THE SITES ARE PROVIDED BY BOARDRIDERS ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOARDRIDERS MAKES NO REPRESENTATIONS, CONDITIONS AND WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITES OR THE INFORMATION, CONTENT, THIRD-PARTY CONTENT, MATERIALS, PRODUCTS, SERVICES OR LINKED SERVICES PROVIDED ON OR THROUGH THE SITES, INCLUDING WITHOUT LIMITATION, THAT THE INFORMATION PROVIDED THROUGH THE SITES WILL BE FREE FROM ERROR, OMISSION, INTERRUPTION, DEFECT, OR DELAY IN OPERATION, OR FROM TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS; THAT THE SITES WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; THAT DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED; OR THAT THE CONTENT ON THE SITES IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.     IN NO EVENT WILL BOARDRIDERS, OR ANY PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITES, BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM THE USE OF THE SITES, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE, SPECIAL AND CONSEQUENTIAL DAMAGES OR ANY DAMAGES OF ANY TYPE OR NATURE ARISING OUT OF YOUR ACCESS, USE, MISUSE, OR INABILITY TO USE THE SITES OR ANY LINKED SITES OR SERVICES; IN THE EVENT A THIRD PARTY INTERCEPTS OR DECRYPTS ANY TRANSMISSION OF INFORMATION THAT YOU PROVIDE TO US THROUGH THE SITES; OR IN CONNECTION WITH ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, OR LINE OR SYSTEM FAILURE, WHETHER IN AN ACTION UNDER CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CERTAIN STATES OR JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS. 

     

    18. OTHER LEGAL PROVISIONS 

     

    We may discontinue, change, suspend, or cancel the contents, operation, or features of the Sites at any time for any reason, without notice. 

     

    We reserve the right to update and/or change the terms of this Agreement. This Agreement was last updated on the date indicated above. Your continued use of the Sites indicates your agreement with the then-current terms. 

     

    Our failure to enforce any provision of this Agreement or respond to a breach by you or other parties will not in any way prevent us from enforcing such right or provision or responding in the future. This Agreement may be assigned by us, in our sole discretion, to a third party, and such an assignment will inure to the benefit of our successors, assigns and/or licensees. 

     

    If any provision in this Agreement is invalid or unenforceable, that provision will be deemed superseded by a valid provision that matches the intent of the original provision and the remaining provisions will continue in full force and effect. 

     

    This Agreement shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any conflict of law principles. The parties acknowledge that this Agreement evidences a transaction involving interstate commerce. Notwithstanding the provision in the preceding paragraph with respect to applicable substantive law, any arbitration conducted pursuant to the terms of this Agreement shall be governed by the Federal Arbitration Act (9 U.S.C. §§ 1-16). 

     

    All rights not expressly granted herein are hereby reserved to Boardriders.

  • California Supply Chains Act

    California Supply Chains Act Notice

     

    At Boardriders, Inc., we are committed to conducting business in an ethical manner and expect our manufacturing partners to share this same commitment. Accordingly, we established a global ethical program in 2004 titled “QUEST” (Quiksilver Ethical Standards of Trade), to prevent abusive, exploitive, or illegal conditions in the workplace and prevent human trafficking and slavery. QUEST includes a Supplier Workplace Code of Conduct, and all agents, vendors and factories are required to participate in the QUEST program as a condition of doing business with our company.

     

    Verification: Annually, we evaluate all of our direct manufacturing suppliers to verify that they are not at risk for violating anti-slavery and human trafficking laws. Our own internal QUEST team spearheads the verification process, using an internally developed assessment tool. We also rely on input from our independent factory auditors to assess these risks and vulnerabilities.  

     

    Supplier Audits: We monitor supplier behavior and compliance with QUEST through our independent contractor with unannounced audits and ongoing monitoring.

     

    Certification: To ensure that our suppliers respect and enforce our QUEST standards, the commercial agreements governing our contractual relationship often stipulate that our suppliers must abide by our QUEST standards, or the contractual relationship is subject to termination. More specifically, we ask our suppliers to agree to provide workers with a safe and healthy work environment; allow workers freedom of association and collective bargaining; conduct business in compliance with applicable environmental, labor, and employment laws; refrain from corrupt practices; and protect against human trafficking and slavery. We also require our suppliers to certify that materials incorporated into our products comply with applicable laws, including those laws that relate to slavery and human trafficking in the country or countries in which they do business.

     

    Internal Accountability: Non-compliance with our QUEST standards can result in a Corrective Action Plan, under which our employees and contractors are expected to follow a series of steps to correct their noncompliance  in order for them to remain an active employee or contractor. Otherwise, they face termination. Throughout the assessment process, factory management is educated and assisted on any noncompliance issue encountered during the applicable audit.

     

    Training: As part of our efforts to ensure compliance with our QUEST standards and prevent abusive, exploitive, or illegal conditions in the workplace, our QUEST department conducts ongoing internal employee and management training regarding our code and human rights concerns, including human trafficking and slavery associated with our supply chains. The training specifically covers mitigating risks of human trafficking and slavery within our company’s supply chains of products, and is mandatory for those company employees and management who have direct responsibility for supply chain management.
